Terms of Service

1. Acceptance of terms

By accessing or using Pipveu (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to any of these Terms, do not use the Service.

These Terms form a legally binding agreement between you (the "User") and Pipveu ("we", "us", "our").

2. Service description

Pipveu is a SaaS trading-performance analytics platform that allows you to:

• Import and synchronise trades from trading platforms (NinjaTrader, Tradovate, multi-broker CSV).
• Visualise performance metrics, equity curves and statistics.
• View correlations between financial assets.
• Access an economic calendar with high-impact news events.
• Manage proprietary-trading firm accounts.

Pipveu is not a financial adviser, broker or regulated investment service. The Service provides analytical tools only and does not constitute investment advice, recommendations, or solicitation. Trading decisions are the User's sole responsibility.

3. Registration and account

• You must be at least 18 years old to use the Service.
• Registration information must be accurate and kept up to date.
• You are responsible for safeguarding your login credentials.
• You must notify us immediately of any unauthorised use of your account.
• An individual or legal entity may hold only one account.

4. Subscription and payments

You may cancel at any time from the Settings page in one click. Cancellation takes effect at the end of the current billing cycle. This complies with the UK Digital Markets, Competition and Consumers Act 2024 (DMCCA) and equivalent EU rules on online cancellation. See our Refund Policy for further information.

5. Acceptable use

You agree not to:

• Use the Service for unlawful or fraudulent activity.
• Attempt to access other users' accounts.
• Reverse engineer, decompile or disassemble the Service.
• Use bots, scrapers or unauthorised automated tools.
• Intentionally overload the Service infrastructure.
• Resell, sublicense or redistribute access to the Service.
• Upload malware, viruses or harmful code.

6. Intellectual property

All Service content (code, design, graphics, logos, text) is owned by Pipveu and is protected by applicable intellectual-property laws, including the UK Copyright, Designs and Patents Act 1988, the US Copyright Act (17 U.S.C.), the Canadian Copyright Act, and the Australian Copyright Act 1968.

You are granted a limited, non-exclusive, non-transferable and revocable licence to use the Service in accordance with these Terms.

7. Trading data

Trade data you import into the Service belongs to you. Pipveu processes it solely to deliver the contracted service.

• We do not share your trading data with third parties.
• We do not use your data for our own or third-party trading.
• You can export or delete your data at any time.
• When you delete your account, all trading data is removed within 30 days.

8. Service availability

We strive to keep the Service continuously available but do not guarantee 100% uptime. The Service may be interrupted for:

• Scheduled maintenance (notified in advance where possible).
• System updates and improvements.
• Circumstances beyond our control (provider failures, force majeure).

9. Financial disclaimer

Pipveu is not authorised or regulated by the UK Financial Conduct Authority (FCA), the US Securities and Exchange Commission (SEC), the US Commodity Futures Trading Commission (CFTC), the National Futures Association (NFA), the Investment Industry Regulatory Organization of Canada (IIROC), the Australian Securities and Investments Commission (ASIC), the Central Bank of Ireland, or any other financial regulator.

Nothing on the Service constitutes investment advice, a personal recommendation, an inducement to trade, or a solicitation to buy or sell any financial instrument.

Past performance is not indicative of future results. Trading futures, forex, equities and other leveraged instruments carries a high level of risk and may not be suitable for all investors. You may lose all or more than your invested capital. You should seek independent advice from a qualified professional before making any trading decision.

10. Limitation of liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
• Pipveu shall not be liable for any financial losses arising from trading decisions, even if those decisions were based on data displayed by the Service.
• Our total aggregate liability shall not exceed the amount paid by the User in the 12 months preceding the event giving rise to the claim.
• We shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, data or goodwill.

Nothing in these Terms excludes or limits our liability where such exclusion would be unlawful, including liability for death or personal injury caused by negligence (UK Consumer Rights Act 2015), fraud or fraudulent misrepresentation, or any statutory consumer guarantees that cannot be waived (e.g. Australian Consumer Law, Canadian consumer-protection statutes, Irish/EU consumer rights).

11. Indemnification

You agree to indemnify and hold harmless Pipveu against any claim, damage, loss or expense (including reasonable legal fees) arising from your breach of these Terms or misuse of the Service.

12. Modifications to these Terms

We may modify these Terms at any time. Material changes will be notified by email or via an in-app notice at least 30 days in advance.

Continued use of the Service after notice constitutes acceptance of the new Terms. If you disagree, you may cancel your account before they take effect.

13. Termination

We may suspend or terminate your account if you:

• Breach these Terms.
• Misuse the Service.
• Fail to pay subscription fees.

On termination, you will retain access to your data for 30 days to export it.

14. Governing law and jurisdiction

These Terms are governed by the laws of Spain. The parties submit to the courts of the city of the Service operator's domicile.

Consumer carve-out: Where you act as a consumer, this choice of law and forum does not deprive you of the mandatory protection afforded by the law of your country of habitual residence (e.g. UK Consumer Rights Act 2015, Rome I Regulation Art. 6, Australian Consumer Law, Canadian provincial consumer-protection statutes, US state consumer law). You may also bring proceedings in the courts of your country of residence.

EU/EEA users may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
